1. Scope of Application
These Terms and Conditions apply to all contracts, services, and offers between Flexcode Systems UG (limited liability), Speditionstraße 15a • 40221 Düsseldorf , (hereinafter referred to as “Flexcode”), and its customers.
Conflicting terms and conditions of the customer will not be recognized unless expressly accepted in writing by Flexcode.
2. Subject Matter of the Contract
Flexcode offers digital services and products, particularly in the fields of software development, ERP systems (e.g., Odoo), IT consulting, and web solutions.
The exact scope of services is defined in the individual offer or contract.
3. Conclusion of Contract
A contract is concluded when:
- The customer accepts a written offer from Flexcode, or
- Flexcode provides written or electronic confirmation of the order.
4. Service Delivery and Customer Duties
Flexcode delivers services professionally and on time according to the agreement.
The customer agrees to provide all required information and access necessary for service delivery in a timely manner.
If the customer fails to meet these obligations, any agreed timelines may be adjusted accordingly.
5. Fees and Payment Terms
The agreed fee is outlined in the individual offer.
Unless otherwise specified:
- Payment is due within 14 days of the invoice date
- In case of delayed payment, statutory interest rates may apply
Flexcode may invoice partial services separately.
6. Intellectual Property Rights
Unless otherwise agreed:
- Flexcode retains ownership of all delivered services until full payment is received
- Custom developments become the property of the client upon full payment
- General tools, modules, or templates remain the intellectual property of Flexcode
7. Warranty and Liability
Flexcode is only liable for damages caused by gross negligence or intent.
In cases of slight negligence, liability only applies to breaches of essential contractual duties.
Liability is limited to the amount of the agreed compensation for the respective service.
8. Confidentiality and Data Protection
Both parties agree to keep all confidential information learned during the cooperation private.
Flexcode handles personal data in compliance with applicable data protection laws (especially GDPR). See our Privacy Policy for more information.
9. Term and Termination
The contract duration is based on the individual agreement.
Regular termination for ongoing service agreements is possible with a notice period of 4 weeks to the end of a calendar month.
The right to immediate termination for good cause remains unaffected.
10. Final Provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction is Düsseldorf, if the client is a merchant as defined by German Commercial Code (HGB).
If any provision of these Terms is invalid, the validity of the remaining provisions shall remain unaffected.
